1. Introduction.

These Terms and Conditions ("Terms") govern all transactions between NEWTÓN BV ("NEWTÓN," "we," "us," "our") and you ("Customer," "you," "your") when you use our website (thisisnewton.com), purchase products, submit applications, or use our services.

By placing an order, submitting an application, or using our website, you agree to these Terms. If you do not agree, do not place orders or submit applications.

We reserve the right to update these Terms. Changes do not affect orders already confirmed. The current version is always available on our website.

2. Definitions.

For clarity throughout these Terms:

  • "RESURRECTED" refers to individual architectural components (doors, panels, countertops, hardware) sold via our e-commerce shop.

  • "CAVROIS Collection" refers to complete architectural kitchen systems sold by application, consultation, and specification.

  • "ARCHITECTED" refers to our bespoke tier (custom-built cabinet structure, by invitation).

  • "THE PUNCTUATION" refers to our proprietary design system of five architectural elements.

  • "Founding Collection" refers to the first 50 numbered CAVROIS kitchens, including associated membership benefits.

  • "Materials" refers to all physical products sold or supplied by NEWTÓN.

  • "IKEA Metod" refers to IKEA's modular kitchen cabinet system, sold separately by IKEA. NEWTÓN is not affiliated with IKEA. IKEA® is a registered trademark of Inter-IKEA Systems B.V.

3. Scope of Application.

3.1 These Terms apply to:

  • All purchases of RESURRECTED products via our website

  • All CAVROIS Collection agreements entered into following application and consultation

  • Material sample orders

  • Use of our website and digital services

3.2 Geographic scope:

  • Year 1 (2026): Belgium and the Netherlands

  • Future expansion: Additional EU markets as announced on our website

3.3 Consumer and business customers:

These Terms apply to both consumers (individuals acting outside their trade or profession) and business customers. Where EU consumer protection law grants consumers additional rights, those rights are expressly noted and cannot be excluded by these Terms.

4. Products and Services.

4.1 Product descriptions

We take reasonable care to ensure product descriptions, specifications, and images on our website are accurate. However:

  • Natural material variation: All NEWTÓN products use natural materials. Wood grain patterns, stone aggregate distribution, brass patina development, and leather character markings vary from piece to piece. This variation is inherent to the materials and is not a defect. Samples are representative but not identical to delivered products.

  • Colour accuracy: Product colours on screen depend on your device's display settings and calibration. We cannot guarantee exact colour reproduction on all devices. We recommend ordering a sample kit before placing a large order.

  • Dimensions: Product dimensions are nominal. Minor variations (within industry-standard tolerances) may occur. CAVROIS specifications are calculated to your space; minor adjustments during production are normal.

4.2 IKEA Metod requirement

All NEWTÓN products are designed exclusively for IKEA Metod kitchen cabinets.

  • NEWTÓN does not sell, supply, deliver, or install IKEA Metod cabinets.

  • You are responsible for purchasing the correct IKEA Metod cabinets for your project.

  • You are responsible for verifying IKEA cabinet dimensions, configurations, and compatibility before placing a NEWTÓN order.

  • NEWTÓN is not responsible for changes IKEA may make to the Metod system, including dimension changes, discontinued configurations, or product availability.

ARCHITECTED tier exception: ARCHITECTED projects use custom-built cabinet structures (not IKEA Metod). Specific terms for ARCHITECTED are agreed individually.

4.3 What we do not provide

NEWTÓN does not provide:

  • IKEA Metod cabinets

  • Kitchen appliances

  • Plumbing or electrical work

  • On-site installation services (RESURRECTED tier)

  • Architectural or structural advice

5. Pricing and Payment.

5.1 Prices

  • All prices are quoted in euros (EUR) and include Belgian VAT (21%) unless stated otherwise.

  • For deliveries within the EU to VAT-registered businesses: reverse charge may apply. Contact us for details.

  • Prices are valid as displayed at the time of order. Confirmed orders are not affected by subsequent price changes.

  • Shipping costs are calculated separately and displayed before you confirm your order.

5.2 Payment — RESURRECTED

Full payment is required at the time of order. We accept:

  • Credit card (Visa, Mastercard) via Stripe/Mollie

  • Bancontact

  • iDEAL (Netherlands)

  • Bank transfer (for orders above €2,000; order enters production upon receipt of funds)

5.3 Payment — CAVROIS Collection

Payment for CAVROIS orders follows a two-stage structure:

  • Deposit is payable by bank transfer within 14 days of order confirmation.

  • Balance is payable by bank transfer before materials leave our workshop.

  • Production does not commence until the deposit is received.

  • Materials are not shipped until the balance is received in full.

5.4 Late payment

If payment is not received by the due date:

  • RESURRECTED: The order will not be processed.

  • CAVROIS: We will send a payment reminder. If payment is not received within 14 days of the reminder, we reserve the right to suspend or cancel the order. Cancellation terms (Section 12) apply.

5.5 Price errors

In the unlikely event of a pricing error on our website, we will contact you before processing the order. You may choose to proceed at the correct price or cancel the order for a full refund.

6. Ordering Process.

6.1 RESURRECTED (e-commerce)

  1. Select products and add to cart.

  2. Proceed to checkout. Provide delivery and payment details.

  3. Review and confirm order.

  4. You receive an order confirmation by email.

The order confirmation email constitutes acceptance of your order and formation of the contract between you and NEWTÓN.

We reserve the right to refuse or cancel orders in cases of pricing errors, suspected fraud, or product unavailability.

6.2 CAVROIS Collection (application-based)

  1. Application. Submit an application via our website. Providing an application does not create a contract or obligation on either party.

  2. Review. We review every application personally. We will respond within 5 working days.

  3. Consultation. If your application is accepted, a 30-minute consultation is scheduled to discuss your space, proportions, and material preferences.

  4. Specification. We prepare a detailed specification document for your kitchen, including all materials, dimensions, upgrades, and pricing.

  5. Confirmation. You review and approve the specification. Upon written approval and payment of the 30% deposit, the order is confirmed.

  6. Production. Your kitchen enters production (8–10 weeks).

  7. Delivery. Upon balance payment, materials are shipped.

The contract for CAVROIS orders is formed when we receive your signed specification approval and deposit payment. No contract exists before that point.

We reserve the right to decline applications for any reason, including (but not limited to) incompatible space dimensions, timeline conflicts, or capacity constraints. Declined applicants will be informed promptly.

6.3 ARCHITECTED

ARCHITECTED projects are governed by individual agreements. These Terms apply to the extent not superseded by the individual agreement.

7. Material Samples.

  • Material sample kits are available for €75, including shipping within Belgium and the Netherlands.

  • The sample fee is refunded when you place an order exceeding €500 in value. The refund is processed within 14 days of your qualifying order.

  • Samples are yours to keep. Return is not required.

  • Sample availability may vary. We reserve the right to modify sample kit contents.

8. Production and Lead Times.

8.1 Estimated lead times

8.2 Lead times are estimates

All lead times are estimates provided in good faith. They are not contractually binding delivery dates unless explicitly agreed in writing.

Delays may occur due to:

  • Material sourcing (natural materials are subject to availability)

  • Production complexity

  • Third-party supplier delays

  • Force majeure (see Section 20)

We will notify you of significant delays as soon as reasonably possible. A delay in delivery does not entitle you to cancel the order unless the delay exceeds 30 days beyond the estimated delivery date and you have given us written notice and a further reasonable period (minimum 14 days) to fulfil the order.

9. Shipping and Delivery.

9.1 Delivery area

We currently deliver to Belgium and the Netherlands. Delivery to other EU countries may be available on request; additional shipping costs will apply.

9.2 Delivery method

  • RESURRECTED: Shipped via DPD or PostNL, depending on package size and destination.

  • CAVROIS: Delivered via specialised freight service. Delivery details are agreed individually.

  • Samples: Shipped via standard postal service or courier.

9.3 Delivery address

You are responsible for providing an accurate and complete delivery address. Re-delivery charges resulting from incorrect addresses will be charged to you.

9.4 Delivery to ground floor

Standard delivery is to the ground-floor entrance of the delivery address. Carry-up, stair delivery, or crane delivery is not included unless specifically arranged and quoted.

9.5 Inspection on delivery

You must inspect the delivery upon arrival. If packaging shows visible damage, note this on the delivery receipt and take photographs before opening. Report any damage to us within 48 hours of delivery at studio@thisisnewton.com with photographs and your order number.

9.6 Transfer of risk

Risk of loss or damage passes to you upon delivery (i.e., when the goods are handed to you or to a person you have nominated to accept delivery). For consumer orders, this is in accordance with Article VI.44 of the Belgian Code of Economic Law.

10. Right of Withdrawal (Consumer Purchases).

This section applies to consumers as defined by EU Directive 2011/83/EU, as transposed into Belgian law (Book VI, Code of Economic Law).

10.1 RESURRECTED — Standard right of withdrawal

You have the right to withdraw from a RESURRECTED order within 14 calendar days of receiving the goods, without giving any reason.

To exercise this right:

  • Notify us in writing (email to studio@thisisnewton.com) within the 14-day period.

  • Include your order number and the products you wish to return.

  • You may use the model withdrawal form provided below, but it is not mandatory.

Conditions for return:

  • Products must be unused, uninstalled, and in their original packaging.

  • Products that have been installed, cut, modified, or damaged by you cannot be returned.

  • You are responsible for the cost of return shipping.

  • We will issue a refund within 14 days of receiving the returned goods (or proof of return shipment).

  • The refund will be issued via the same payment method used for the original purchase.

10.2 CAVROIS Collection — Exception for custom-made goods

CAVROIS orders are made to your individual specification. In accordance with Article VI.53, 3° of the Belgian Code of Economic Law (transposing Article 16(c) of Directive 2011/83/EU), the right of withdrawal does not apply to goods that are:

"made to the consumer's specifications or clearly personalised."

Each CAVROIS kitchen is manufactured to your specific dimensions, form, and material specifications. There is no right of withdrawal for CAVROIS orders once the specification has been approved and the deposit paid.

You will be informed of this exclusion before you confirm your CAVROIS order.

10.3 Material samples

Material samples are non-returnable. The sample fee (€75) is refunded on qualifying orders (see Section 7).

11. Returns and Refunds.

11.1 RESURRECTED returns (within withdrawal period)

If you exercise your right of withdrawal within the 14-day period and the goods meet the return conditions (Section 10.1):

  • Refund of the purchase price (including original standard shipping cost) within 14 days of receiving the returned goods.

  • Return shipping cost is at your expense.

  • We may withhold the refund until we have received the goods or you have supplied evidence of return shipment, whichever is earliest.

11.2 CAVROIS returns

CAVROIS orders are custom-made and non-returnable. See Section 10.2.

11.3 Damaged goods

If goods arrive damaged during transit:

  • Report the damage within 48 hours of delivery.

  • Email studio@thisisnewton.com with your order number, photographs of the damage (packaging and product), and a description of the issue.

  • We will arrange replacement of damaged components at no cost to you, or issue a partial refund at our discretion.

  • Do not install damaged materials. Installation of visibly damaged products voids the right to a damage claim.

11.4 Defective goods

If goods are defective (see Section 15, Warranty):

  • Contact us within the warranty period with your order number and photographs.

  • We will assess the defect and offer repair, replacement, or refund in accordance with Belgian consumer law.

  • Natural material variation (grain patterns, colour variations, patina development) does not constitute a defect. See Section 4.1.

11.5 Incorrect orders

If you receive products that differ from your order:

  • Contact us within 14 days of delivery.

  • We will arrange collection and replacement at our cost.

12. Cancellation Policy.

12.1 RESURRECTED cancellations

  • Before dispatch: You may cancel for a full refund. Contact us immediately at studio@thisisnewton.com.

  • After dispatch: Exercise your right of withdrawal (Section 10.1).

12.2 CAVROIS cancellations

Because CAVROIS orders involve custom production, the following cancellation terms apply:

Stage + Consequence

  • Before specification approval: No financial obligation. Application may be withdrawn at any time.

  • After specification approval, before production: Deposit (30%) is forfeited. This covers consultation time, specification development, and material reservation.

  • After production has commenced: Full order value (100%) is due. Custom-made goods cannot be resold or repurposed.

  • Cancellation must be communicated in writing (email to studio@thisisnewton.com).

  • "Production commenced" means materials have been ordered from suppliers and/or fabrication has begun. We will confirm production status upon cancellation request.

  • In exceptional circumstances, we may agree to partial refunds at our discretion.

12.3 Cancellation by NEWTÓN

We reserve the right to cancel an order in the following circumstances:

  • Payment not received within the agreed timeframe

  • Suspected fraud

  • Force majeure (see Section 20)

  • Inability to source specified materials (in which case we will offer alternatives or a full refund)

If we cancel an order, you will receive a full refund of all amounts paid.

13. Installation and Support.

13.1 RESURRECTED

  • We provide a detailed installation manual and video tutorials with every order.

  • Installation is the Customer's responsibility. NEWTÓN does not provide on-site installation services for RESURRECTED orders.

  • We offer paid support calls (€75 per 30-minute session) for installation guidance.

  • We maintain a network of recommended installers in Belgium. Referrals are provided on request; however, NEWTÓN is not responsible for the quality or conduct of third-party installers.

13.2 CAVROIS Collection

  • CAVROIS orders include a comprehensive installation manual, video tutorials, and two complimentary support calls.

  • Additional support calls are available at €75 per session.

  • For Founding Collection orders with the white-glove installation upgrade (+€3,500): installation is performed by Glenn's supervised team. Specific installation terms are agreed in the CAVROIS order agreement.

  • Where installation is the Customer's responsibility: NEWTÓN is not liable for damage, defects, or performance issues resulting from incorrect or improper installation.

13.3 IKEA Metod installation

NEWTÓN is not responsible for the installation, assembly, or condition of IKEA Metod cabinets. You must ensure that IKEA cabinets are correctly assembled and level before installing NEWTÓN components.

14. IKEA Compatibility and Liability.

14.1 Compatibility

NEWTÓN products are designed for and tested with the IKEA Metod system as available at the time of product design. We cannot guarantee compatibility with:

  • Future IKEA Metod revisions or changes

  • IKEA kitchen systems other than Metod (e.g., older Faktum system)

  • Non-IKEA kitchen cabinets (unless specifically agreed for ARCHITECTED)

14.2 Customer responsibility

Before ordering, you must verify:

  • That your IKEA Metod cabinets are the correct dimensions for your chosen NEWTÓN products

  • That your IKEA Metod configuration matches the NEWTÓN specification (for CAVROIS orders)

  • That cabinet fronts are not included in your IKEA order (to avoid waste)

14.3 IKEA-related liability

NEWTÓN is not liable for:

  • Defects in IKEA Metod cabinets

  • Changes to IKEA Metod dimensions, specifications, or availability

  • Incompatibility arising from non-standard or modified IKEA cabinets

  • Any issues with IKEA products, warranties, or services

IKEA® is a registered trademark of Inter-IKEA Systems B.V. NEWTÓN has no affiliation with Inter-IKEA Systems B.V. or any IKEA entity.

15. Warranty.

15.1 Legal guarantee (consumers)

In accordance with Belgian law (transposing EU Directive 2019/771 on the Sale of Goods), consumers benefit from a minimum 2-year legal guarantee on all NEWTÓN products, starting from the date of delivery.

During this period, if a product is found to be non-conforming (defective or not matching the contract description), you are entitled to:

  1. Repair or replacement (at our choice, unless disproportionate)

  2. If repair or replacement is not possible or not completed within a reasonable time: a price reduction or full refund

15.2 What is covered

  • Manufacturing defects (e.g., delamination, structural failure, hardware malfunction)

  • Material defects not attributable to normal use

  • Non-conformity with the agreed specification (CAVROIS orders)

15.3 What is NOT covered

  • Natural material variation: Differences in wood grain, stone aggregate, brass patina, or leather character are inherent to natural materials and are not defects.

  • Patina and ageing: Brass develops patina over time. This is intended behaviour, not a defect. Walnut darkens with UV exposure. Carran stone develops character with use.

  • Damage from incorrect installation: Components damaged during installation by the Customer or a third-party installer.

  • Improper use or maintenance: Damage from harsh chemicals, abrasive cleaning, excessive heat, or neglect of maintenance instructions.

  • Normal wear and tear.

  • Modifications: Products that have been altered, cut, or modified after delivery (other than standard installation).

15.4 Warranty claims

To make a warranty claim:

  1. Email studio@thisisnewton.com with your order number, description of the issue, and clear photographs.

  2. We will assess the claim and respond within 10 working days.

  3. If a warranty claim is accepted, we will arrange repair, replacement, or refund at no cost to you.

16. Limitation of Liability.

16.1 General

To the maximum extent permitted by applicable law:

  • NEWTÓN's total liability for any claim arising from or related to an order shall not exceed the total amount paid by you for that order.

  • NEWTÓN is not liable for indirect, incidental, special, or consequential damages, including (but not limited to) loss of profit, loss of use, or costs of alternative accommodation during kitchen renovation.

16.2 Exclusions

Nothing in these Terms excludes or limits NEWTÓN's liability for:

  • Death or personal injury caused by our negligence

  • Fraud or fraudulent misrepresentation

  • Any liability that cannot be excluded under Belgian law or EU consumer protection law

16.3 Specific exclusions

NEWTÓN is not liable for:

  • Damage resulting from incorrect installation by the Customer or third parties

  • Defects in IKEA Metod cabinets or other third-party products

  • Delays caused by shipping providers, customs, or force majeure

  • Colour or material differences between samples and delivered products that fall within the natural variation described in Section 4.1

  • Loss or damage after risk has transferred to you (Section 9.6)

  • Your failure to follow installation manuals, maintenance instructions, or care guidelines

17. Intellectual Property.

17.1 Ownership

All intellectual property rights in and related to the following belong exclusively to NEWTÓN:

  • The NEWTÓN name, logo, and brand identity

  • THE PUNCTUATION design system

  • CAVROIS, RESURRECTED, ARCHITECTED, and all collection names

  • All website content, including text, photographs, illustrations, and design

  • Installation manuals, video tutorials, and technical documentation

  • Specification documents and drawings

17.2 Limited licence

By purchasing NEWTÓN products, you receive a limited, non-transferable licence to use our installation manuals and documentation for the purpose of installing and maintaining your NEWTÓN kitchen. You may not reproduce, distribute, or commercially exploit this documentation.

17.3 Photography and archive (CAVROIS)

As part of the CAVROIS Founding Collection, professional photography of your completed kitchen is included. By participating in the Founding Collection:

  • NEWTÓN retains ownership of all photographs taken.

  • You grant NEWTÓN a non-exclusive, perpetual licence to use these photographs for marketing, archival, and promotional purposes (including website, social media, press, and print).

  • Photographs will not include personally identifiable information (faces, personal belongings) without your separate written consent.

  • You will receive high-resolution copies of the photographs for personal use.

18. Founding Collection Terms.

The following additional terms apply to CAVROIS Founding Collection orders (positions 1–50):

18.1 Membership benefits

Founding Collection members receive:

  • Numbered brass plate (permanently affixed to kitchen)

  • Archive documentation of completed kitchen

  • Professional photography session

  • Invitation to annual Founding Collection gathering

  • Lifetime consultation access (reasonable use)

  • Priority access to future NEWTÓN collections (advance notice and first selection)

18.2 Conditions

  • Benefits are personal and non-transferable. They are linked to the original purchaser, not the property.

  • If you sell the property, the new owner inherits the kitchen but not the Founding Collection membership benefits.

  • Annual gathering attendance is optional. Travel and accommodation are at your expense.

  • "Lifetime consultation" means reasonable access to our design team for questions related to your NEWTÓN kitchen. It does not include new design projects, which are quoted separately.

  • NEWTÓN reserves the right to modify the format and frequency of gatherings, provided the spirit of the benefit is maintained. We will provide reasonable advance notice of any changes.

18.3 Founding Collection numbering

  • Each Founding Collection kitchen is assigned a unique number (1–50) in order of production completion.

  • You do not choose your number. Numbers are assigned sequentially.

  • The Founding Collection is limited to 50 kitchens. Once all positions are filled, no further Founding Collection orders will be accepted.

19. Governing Law and Disputes.

19.1 Governing law

These Terms are governed by and construed in accordance with the laws of Belgium, without regard to conflict of law principles.

19.2 Jurisdiction

Any disputes arising from or relating to these Terms or your purchase shall be subject to the exclusive jurisdiction of the competent courts of Belgium.

For consumers: In accordance with EU Regulation 1215/2012, you may also bring proceedings in the courts of your place of domicile within the EU.

19.3 Online Dispute Resolution

The European Commission provides an Online Dispute Resolution (ODR) platform for consumers who wish to resolve disputes out of court:

We are not obligated to participate in alternative dispute resolution proceedings before a consumer arbitration body, but we will consider doing so in good faith.

20. Force Majeure.

NEWTÓN is not liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including (but not limited to):

  • Natural disasters, extreme weather, pandemics

  • War, civil unrest, terrorism

  • Government actions, trade restrictions, sanctions

  • Supply chain disruptions, material shortages

  • Transportation or logistics failures

  • Labour disputes (not involving our own employees)

  • Utility failures (power, internet, telecommunications)

In the event of force majeure, we will:

  • Notify you as soon as reasonably practicable

  • Use reasonable efforts to mitigate the impact

  • Resume performance as soon as the cause is resolved

If force majeure persists for more than 90 days, either party may terminate the contract by written notice. In such case, you will receive a full refund of amounts paid for undelivered goods.

21. Miscellaneous.

21.1 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

21.2 Entire agreement

These Terms, together with our Privacy Policy and any individual order agreement (for CAVROIS orders), constitute the entire agreement between you and NEWTÓN regarding your purchase.

21.3 No waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.

21.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our written consent. We may assign our rights and obligations to a successor entity in the event of a merger, acquisition, or sale of assets, provided your rights are not diminished.

21.5 Language

These Terms are available in English and Dutch. In case of discrepancy between the English and Dutch versions, the English version shall prevail.

21.6 Communication

All formal notices under these Terms (cancellations, warranty claims, withdrawal) must be in writing and sent by email to studio@thisisnewton.com. We will confirm receipt within 2 working days.
